巴西颁布新的生产共享制度招标规则

里约热内卢——巴西第 9.041/2017 号法令于上周生效,规定了第 12.351/2010 号法律,该法律涉及巴西国家石油公司在受产量分成制度约束的区块中作为勘探和生产联合体的优先运营商的权利。

在其原始措辞中,第 12.351/2010 号法律将巴西国家石油公司定义为生产共享制度下区域的唯一运营商。该法律经第 13.365/2016 号法律修订,免除了公司在这些领域作为独家经营者的义务,但立法授予优先购买中标财团至少 30% 股权的权利以及作为经营者的可能性。该法令规定了此类法定优先权的行使方式。

如果巴西国家石油公司不行使其优先权,则该区块将被拍卖,并且巴西国家石油公司将被允许与其他投标人以平等的条件提交投标。

如果巴西国家石油公司行使其优先权,在投标评估阶段完成后,将有两种选择:(i) 如果在投标区域的拍卖中向联邦政府提供的“利润石油”的百分比等于招标中规定的最低百分比,巴西国家石油公司有义务与中标者一起加入联合体;(ii) 如果在招标区域拍卖中向联邦政府提供的“利润石油”百分比超过招标中规定的最低百分比,巴西国家石油公司可以决定是否与中标者并应在投标期间宣布其决定。

如果巴西国家石油公司决定不参与,中标者应具体说明运营商以及每个联合体成员的权益百分比。

Brazil enacts new bidding rules for production sharing regime

RIO DE JANEIRO -- Brazil's Decree 9.041/2017 entered in force last week, regulating Law 12.351/2010 relating to Petrobras’ preferential rights to act as operator in consortiums for exploration and production in blocks subject to the production sharing regime.

In its original wording, Law 12.351/2010 defined Petrobras as the sole operator of areas under the production sharing regime. This law was amended by Law 13.365/2016, which released the Company from its obligation to act as sole operator in such areas, but the legislation grants preferential rights to acquire a minimum 30% stake in the winning consortium and the possibility of acting as operator. The Decree regulates the manner in which such statutory preferential rights shall be exercised.

In this sense, Petrobras shall express interest in participating in the blocks to be auctioned within 30 days as from the publication date of the National Energy Policy Council (CNPE) resolution, which will specify the technical and economic parameters of the blocks to be auctioned under the production sharing regime.

This expression of interest must contain a list of blocks of interest and the desired percentage participation. The CNPE will subsequently propose which blocks are to be operated by Petrobras, indicating its minimum share in the consortium, which cannot be lower than 30%.

If Petrobras does not exercise its preferential rights, the blocks shall be auctioned, and Petrobras will be allowed to submit bids on equal terms with the other bidders.

Should Petrobras exercise its preferential rights, upon completion of the bidding assessment phase, there will be two alternatives: (i) if the percentage of ‘profit oil’ offered to the Federal Government in the auction for the bidding area is equal to the minimum percentage defined in the call for tenders, Petrobras shall be under obligation to participate with the winning bidder in the consortium; or (ii) if the percentage of ‘profit oil’ offered to the Federal Government in the auction for the bidding area exceeds the minimum percentage defined in the call for tenders, Petrobras may decide whether or not to participate in the consortium with the winning bidder and shall announce its decision during the bidding round.

If Petrobras decides not to participate, the winning bidder shall specify the operator and the percentage interest of each consortium member.
